The agreement for using Nudgely to create AI-powered wellness calls, reminders, and caregiver summaries.

1. Introduction and Agreement

These Terms and Conditions govern Nudgely, an AI-powered voice-call service for wellness check-ins operated by Jigyansu Rout ("I", "me", "my").

By signing up or using Nudgely, you agree that you have read, understood, and are bound by these Terms. Do not use the service if you do not agree.

  • Scope: These Terms cover the web platform, automated voice calls, reminders, and analytics.
  • Legal agreement: These Terms form a legally binding agreement under Indian law.
  • Age: You must be at least 18 and legally capable of entering this agreement.
  • Updates: Material changes will be communicated by email, in-app notification, or a notice on the service. Continued use after they take effect constitutes acceptance.

2. Account Terms

  • Provide accurate and complete registration information.
  • Keep your credentials confidential and promptly report unauthorized access.
  • You may terminate your account using the application's Delete Account feature.
  • I may suspend or terminate accounts that breach these Terms, misuse Nudgely, or break the law.
  • After termination, service access ends and data is handled under the Privacy Policy.

3. Service Description

Nudgely helps users create and manage automated wellness calls.

  • Schedule check-ins, manage recipients, create questions, and review call outcomes.
  • The AI assistant may misunderstand speech or produce inaccurate responses.
  • Nudgely relies on Vapi, Twilio, Cartesia, Deepgram, Google, Sarvam, Cloudflare, Clerk, Inngest, and Polar; uninterrupted availability cannot be guaranteed.
  • The service is intended for use within India.

4. Plans, Billing, and Refunds

  • Free: $0; 1 flow and 10 minutes per month.
  • Starter: $19 per month; 3 flows and 100 minutes per month.
  • Pro: $39 per month; 8 flows and 300 minutes per month.
  • Paid subscriptions renew monthly until cancelled before the next billing date.
  • Price changes will be communicated at least 30 days before taking effect.
  • Further scheduled calls are blocked after the monthly minute limit until usage resets or you upgrade.
  • Subscription fees are non-refundable except where required by law. If I terminate an account without cause, I may provide a prorated refund at my discretion.

5. User Responsibilities

  • Use Nudgely only for legitimate wellness and personal check-ins.
  • You must obtain explicit consent from every recipient before scheduling a call. You represent that you have all rights and permissions needed to contact them.
  • Do not use the service for harassment, abuse, unwanted calls, unsolicited marketing, spam, fraud, deception, illegal activity, security attacks, or attempts to evade usage limits.

6. Call-Specific Terms

NOT FOR EMERGENCIES: Nudgely is not a medical, crisis, or emergency-response service. It may surface concerning statements to an account holder, but in a crisis you must contact local emergency services or crisis support directly.

  • With prior consent, calls are transcribed and the transcript and responses are stored. Nudgely does not retain call audio. You must inform recipients of transcription and understand that transcripts may be inaccurate.
  • Recipients may opt out. If a recipient asks you or the AI assistant not to call again, you must stop scheduling calls to that recipient.

7. Privacy

Personal data is handled under the Privacy Policy, which forms part of these Terms.

8. Intellectual Property

  • I retain rights in the Nudgely platform, software, and trademarks and grant you a limited, non-exclusive, non-transferable right to use the service under your plan.
  • You retain ownership of your content and grant me only the rights needed to operate and provide Nudgely.

9. Disclaimers and Liability

NO MEDICAL ADVICE: Nudgely does not provide medical advice, diagnosis, or treatment. Seek a qualified healthcare professional for medical concerns.

  • The service is provided "as is" and "as available" to the extent permitted by law.
  • To the maximum extent permitted by Indian law, total liability relating to the service is limited to the amount you paid during the three months before the event giving rise to the claim. I am not liable for indirect, incidental, consequential, or punitive damages where such exclusions are lawful.
  • You agree to indemnify me for claims arising from your misuse, violation of these Terms, violation of law, or failure to obtain recipient consent, to the extent permitted by law.

10. Dispute Resolution

  • Indian law governs these Terms, and courts in Bhubaneswar, Odisha have exclusive jurisdiction.
  • Before filing a claim, contact support@trynudgely.com to try to resolve the dispute informally.

11. Regulatory Compliance

You must comply with applicable law, including Indian telecommunications rules governing consent and unsolicited commercial communications. Nudgely must not be used for promotional or commercial outreach without every authorization required by law.

12. General

  • These Terms and the Privacy Policy are the entire agreement about your use of Nudgely.
  • I am not liable for delay caused by events reasonably beyond my control.
